1. Definitions
The terms and expressions listed hereunder shall have the meanings set out below, it being understood that terms defined in the singular is considered defined even in the plural and vice versa.
● Customer means any person (natural or legal) who buys one or more Products in the On-Line Shop, accepting the General Conditions.
● Anichini Srl: ANICHINI SRL means ASSUNTA SRL has its registered office in Florence, Via Parione 59 / R, registered with the Register of Companies of Florence, CF / PI 03,672,820,481. From here onwards simply: "Anichini"
● Parties: means Anichini SRL and Customers jointly.
● General Conditions mean these general conditions of sale and any future new versions that may be published in the On-Line Shop by Anichini SRL.
● On-Line Shop means a virtual shop, managed by Anichini Srl and accessible through the URL https://www.anichini.net, through which it is possible to buy the products.
● Sale and Purchase Agreement: means the sale and purchase agreements of the Products entered into, pursuant to art. 3., between Anichini SRL and its customers through the On-Line Shop.
● Orders: means purchase orders of the Products placed by the Customers, in accordance with the General Terms and following the procedure set out in art. 6.
● Order Confirmation: means the e-mail address through which Anichini Srl communicates to the acceptance of Customer Orders.
● Price means the sale price of the Products as specified in the On-Line Shop at Product.
● Products mean the products published in the On-Line Shop for the purpose of sale.
● Account means the area of the On-Line Shop where Customers are allowed, following authentication to: (i) monitor and update personal data and addresses where the ordered Products are to be shipped and delivered; (Ii) view previous Orders; (Iii) access any other specific function related to their activities in the On-Line Shop.
2. Subject
2.1 These General Conditions apply to all the Sale and Purchase Agreements and form an integral part.
2.2 Anichini reserves the right to modify at any time the General Conditions, provided that shall be deemed applicable to the Sale and Purchase Agreements published in the On-Line Shop at the time the Orders are placed by the Customers.
2.3 In the event of any inconsistency between the General Conditions and any other terms and conditions relating to the Sale and Purchase Agreements published in the On-Line Shop, the terms and conditions more favorable to the Customers.
3. Completion of the Sale and Purchase Agreements
3.1 Anichini undertakes to send the Order Confirmation to the Customers within 2 working days from receipt of the Orders from the Customers.
3.2 Sale and Purchase Agreements are deemed entered into between the Parties at the time the Customers receive the Order Confirmation. Should Customers not receive the Order Confirmation within the term indicated in art. 3.1, the relevant Order shall be deemed rejected by Anichini and thus have no effect.
3.3 By placing the Orders, Customers declare to have read all the instructions on how to purchase the products of art. 6 and to have fully accepted the General Conditions and to have read all the information contained on the On-Line Shop, including information accessible through links.
3.4 Orders will be stored in the database of the On-Line Shop, in the manner and in accordance with the provisions of the Decree. 30.06.2003 n. 196 ("Policy") and can be accessed by contacting Anichini references in art. 16 or by accessing the Account.
4. Availability of Products
4.1 Without prejudice to the provisions of art. 4.6, corresponding to each Product published in the On-Line Shop, Anichini Srl indicates whether:
(I) is available at its warehouse;
(Ii) is not available at its warehouse;
(Iii) is available "on demand";
(Iv) is "customizable".
4.2 The range of products published in the On-Line Shop and their availability may vary at any time without implying any responsibility for Anichini towards clients.
4.3 Indication relating to the availability of the Products is not binding, it being understood that the Products listed as "not available" pursuant to art. 4.1 (ii) can not be ordered by customers. In case of unavailability of a Product listed as available at the time the Order was placed by a customer, Anichini Srl, without prejudice to the provisions of art. 3.2, undertakes to inform such Customer, in a subsequent communication by e-mail, the times tentatively planned for availability of a new / the product / the subject of the Order placed by the Customer. The Customer may withdraw the Order within 48 hours after receipt of such notice of Anichini Srl (subject to the right of withdrawal pursuant to Art. 9) by sending an e-mail to the address specified in Art. 16. In this case, Anichini Srl agrees to reimburse the Price in the shortest possible time.
4.4 Should a Product bear the indication available "on demand" means that the product, at that moment, is not available at the warehouses of the Anichini Anichini Srl but that will take care of Anichini Srl to order it, after the customer ordered it to Anichini Srl.
4.5 Should a Product bear the indication "tailor-made" means that the product can be customized according to the specific measures required by the Customers. In this case, the Customers must fill in the relevant table at the time the Orders are placed. After sending the Order Confirmation, Anichini Srl undertakes to inform the Customer, via e-mail, the deadline for the shipment of the customized Product. While engaging Anichini to do everything in its power to ensure compliance with this term, the same is to be considered as merely indicative and does not involve any constraint Anichini;
4.6 Anichini reserves the right not to indicate the availability of, or some of the products published in the On-Line Shop.
5. Prices and shipping costs; taxes and duties
5.1 The Price is in € (Euro) and can also be displayed in $ (USD). Choosing to pay in $ not accept the change displayed .. The applicable Price is the one published in the On-Line Shop at the time the Orders are placed by Customers. - See more at: # http://anichini.net/it/customerservice payments
5.2 The Price is inclusive of VAT (22%) if the Products are shipped by Anichini and delivered within the European Union. If the Products are shipped by Anichini and delivered outside the European Union, the price is inclusive of VAT.
5.3 The Price does not include shipping costs. Estimated shipping costs are added to the product price during checkout once the delivery destination is chosen. The contribution requested from Anichini Srl for the shipping costs is shown separately from the product price.
5.4 Shipping outside Italy and the EU can be subject to sudden price increases. For this reason, after order placement and before actual shipping Anichini reserves the right to request a one-time, additional fee for the shipping depending on the destination. When this happens, in case the additional fee is not paid by the Customer, the order is cancelled and the paid amount gets totally refunded to the Customer.
5.5 Any taxes, levies, duties and other charges under the laws of the State when the products are shipped and delivered will be entirely borne by the Customers and those paid at the time of delivery of the Products, or directly to the tax authorities to the competent customs or courier charge delivery.
6. Placement of Orders
6.1 In order to proceed to place the Orders, Customers are required to register in the On-Line Shop including all data "mandatory" and by selecting a password to send orders and to access, even at a later time, at your own profile.
6.2 The Customers may purchase the Products by selecting the section of the On-Line Shop dedicated to the Product category searched and putting them in the "basket". When the Products the Customers wish to purchase are more than one, the same procedure described above must be repeated by clicking on "add to cart". Completed the selection of products, customers must, if they have not already done so earlier, proceed to the registration of art. 6.1 or, if already registered, must authenticate by entering your e-mail address and password in the appropriate fields and click "checkout". The correctness of the data relating to the product / the chosen / s and the "send information", the Customers must choose the mode of payment of art. 7. Choosing the mode of payment, the Customers may proceed to place the Orders by clicking "send".
7. Methods of payment
7.1 The Customers may pay the Price and the contribution to the cost of shipping in art. 5 by credit card, PayPal, bank transfer or other means of payment as may be nominated by Anichini in On-Line Shop. Anichini reserves the right to vary at any time, the means of payment used by the customer shall be deemed to be used on the understanding that those published in the On-Line Shop at the time the Orders are placed by the Customers.
7.2 In case of payment by credit card, the price charged to customers and the contribution to the cost of shipping in art. 5 occurs, the data verified credit card and debit authorization received by the company issuing the credit card used by the Customer, upon placing by Anichini Order Confirmation. The credit card data entered during the ordering procedure is protected and are sent directly to the bank that handles payments. The payment is made directly on the secure server Banca Sella, with an SSL deciphering key so as to guarantee the absolute security of the transaction. The data of the credit card can not be accessed by Anichini or third parties, it 'at the time the Orders nor' later.
7.3 In case of payment by bank transfer, customers must make the transfer to the bank account details specified in the On-Line Shop, specifying in the reason the serial number reported by Anichini at the time of the Order by the Customer and in the Order Confirmation.
7.5 In case of payment via PayPal, at the time the Orders are placed by the Customers, the web session will be transferred to PayPal's secure website. On this Web site, customers can complete payment of the price and the contribution to the cost of shipping in art. 5 using their PayPal account and subject to the conditions of use of the PayPal service subscribed by the Customer at that time or earlier. The Price and the contribution to the cost of shipping in art. 5 on Customers' PayPal account occurs simultaneously sending by Anichini's Order Confirmation.
7.6 If requested by the Customers upon placing the Orders, Anichini will send regular invoices by e-mail or mail. For the purpose of issue of the invoice, the information provided by the Customers. No amendment of the bill will be possible after its issuance by Anichini.
7.7 Any information received by Anichini under this Article 7 will only be used to complete the procedures for the sale of products and the procedures for reimbursement in the event of exercise of the right of withdrawal pursuant to Art. 9. Placed by the Customers.
8. Shipment and delivery of products
8.1 Being understood that "shipping" of Products from Anichini , refers to the delivery of the same to the couriers selected from time to time pursuant to art. 8.2, Anichini is not liable for the shipment of the Products until it has received payment of the price; Once received the payment of the price, Anichini agrees to ship the Products:
(I) in the case of products available (as defined in art. 4.)
- Within 3 working days from receipt of the communication authorizing the charge of art. 7.2 in the case of payment by credit card;
- Within 3 working days from the time it was made available to the Anichini the information of payment in case of payment by means other than by credit card;
8.2 Anichini guarantees the shipment of the Products in the states listed in the On-Line Shop, via express couriers selected from time to time depending on the Product ordered and the place of destination. The Products are shipped de delivered by the courier selected by Anichini's address indicated by the Customer at the time of registration of art. 6.1 or at a different address specified at the time the Order.
8.3 Anichini is committed to doing everything in its power to ensure that the Products shipped pursuant to art. 8.1 and 8.2 shall be delivered by the selected couriers:
- In Italy within 48 hours from the date of shipment;
- Outside Italy within 5 days from the date of shipment.
8.4 The delivery terms of art. 8.3, can not, in any event, be considered binding and Anichini unable to directly monitor the deliveries of Products subsequent to shipment, can not be held responsible in any way for their non-compliance.
8.5 In order to allow the Customers to monitor the status of orders, Anichini generates an Order number which, when placed in the "My Orders" section - accessible from all pages of the On-Line Shop - allows to verify all information concerning the Orders.
8.6 The Customers may also verify the progress of Orders utilizing the feature on "Order Tracking" provided by the carrier chosen by Anichini for delivery. This verification can be carried out by the Customers only after the shipment of the Products and by utilizing tracking data communicated by Anichini via e-mail or by accessing the Profile.
8.7 Customers, or authorized third parties who are customers at the address indicated for the delivery of the Products in the Order Confirmation, are required to check at the time of delivery, that:
(I) the Products correspond to those indicated in the transport document courier (DDT) for both the quantity and type;
(Ii) the parcel / package of the Products is intact, undamaged, not wet nor in any way altered even the sealing materials.
8.8 Any damage to the parcel / package of the Products must be immediately claimed by the Customers by means of a check written on the subject to proof of delivery courier. It is understood that once the slip is signed without any claim, the Customer can not raise any objection to the Anichini with reference to the external characteristics of the goods.
8.9 The Products may be delivered by couriers only to the Customers or persons authorized by them; the subject to which the Products are delivered must affix a signature to authenticate the delivery. Couriers do not deliver to PO boxes nor by inserting the Products in letter boxes or other similar places.
9. Withdrawal
9.1 Should the Customers who are "consumers" (ie a natural person acting for purposes which are outside his trade, business, craft or profession), the Customer shall have the right, pursuant to and by effect of art. 64 of Legislative Decree n. 206/2005, to terminate the Sale and Purchase Agreement within 30 days from the date of receipt of the Products Sale and Purchase Agreements. The Right of withdrawal must be exercised by sending a written notice to Customer, via e-mail to the art. 16., Containing:
(Ii) the intention to exercise the right of withdrawal;
(Ii) an indication of the Order which gave rise to the Sale and Purchase Agreement from which they intend to withdraw.
9.2 In the event of the exercise by the Customers the right of withdrawal provided for in this Article. 9.:
(I) i) Customers undertake to return the products within 14 working days from the date of the notice of withdrawal pursuant to Art. 9.1;
(Ii) all costs related to the return of the Products are entirely borne by the Customers;
(Iii) Anichini agrees to reimburse the Price in the shortest time possible, and in any event within 30 days from the date of receipt of notice of withdrawal pursuant to Art. 9.1, provided that:
- The Products have been returned and are intact;
- Has also been returned parcel / package of the Products and the original is intact;
- Are also returned any accessories, instruction manuals etc. and are intact;
- The products have not been used;
(Iv) Anichini communicate to the Customers the methods for reimbursement of the price and may for that purpose require to the Customers the relevant banking data (IBAN and owner of the a / c).
9.3 Should the Customers not exercise the right of withdrawal in a manner inconsistent with the terms and conditions referred to in this Article 9, the Customer shall not be entitled to a refund of the price.
9.4 As an alternative to exercising the right of withdrawal provided for in this Article. 9, the "consumer" Customers (as defined in art. 9.1) may opt for a "change product" according to the terms and conditions specified in the On-Line Shop.
9.5 There are excluded from Withdrawal products "made to measure" or "clearly personalized" by effect of art.55.
10. Flaws / defects of Products
10.1 Should the Products bear a warranty from the producer (commercial / conventional warranty), any faults / defects of Products must be communicated by the Customers directly to the manufacturer according to the terms and conditions indicated in the warranty.
10.2 The Customer "Consumer" (as defined under. 9.1) may require the seller, within the period laid down in Article. 132 of Legislative Decree 206/05 (Consumer Code), the remedies provided by the Consumer Code for the lack of conformity of products existing at the time of delivery.
11. Product Liability
The producer of the Products shall be liable for any damage caused by defects of the products themselves.
12. Notice
Anichini represents and warrants that the personal data shall be treated in accordance with the provisions of Legislative Decree no. 196/03, as amended. Details of the methods of treatment of data are communicated to the Customers at the time of registration of art. 6.1 or 6.2.
13. Errors and / or inaccuracies in the On-Line Shop
13.1 Anichini is committed to constantly check the On-Line Shop in order to avoid errors or inaccuracies. However, it is possible that the On-Line Shop bears, or might in time, errors, inaccuracies or omissions.
13.2 Anichini therefore reserves the right to correct any errors, inaccuracies or omissions contained in the On-Line Shop even after an Order has been sent, and also reserves the right to change or update information at any time without prior notice to Customer.
14. Intellectual Property
All intellectual property rights connected to the On-Line Shop (including its contents) are the exclusive property of Anichini. The On-Line Shop and its contents may not be reproduced in whole or in part, transferred by electronic or conventional means, modified, linked or used for any purpose without the prior written consent of Anichini.
15. Applicable Law
15.1 The General Conditions and the Sale and Purchase Agreements are governed by Italian law (and in particular by Legislative Decree 206 of 06/09/2005 - which, in Articles. Between 50 and 67 governing distance contracts - and by Legislative Decree No. 70 of 09 / 04/2003 on electronic commerce), and in light of this should be interpreted.
15.2 Any dispute arising in connection with the General Conditions and / or the Sale and Purchase Agreement will be referred exclusively to the court of Florence.
